Corporate Governance of Capital Companies with Municipal Participation

Private and public law meet in the governance of municipal owned enterprises (MOEs). The basics of the status of municipalities, including the right to self-government, are contained in the constitutional and administrative law, The regulation of capital companies was significantly changed 10 years ago in relation to the recodification of private law. The key corporate governance issues of " normal" companies, as well as partially in the case of SOEs, have been thoroughly discussed and their solutions are well established. This is not the case for corporate governance MOEs. The objectives of the project will be achieved by a) formulating the basic elements of corporate governance of MOEs, b) analysing the existing law and case law, c) comparing with the legal regulation of " normal" capital companies, SOEs and with the OECD Guidelines, d) empirically examining selected indicators for selected MOEs, e) comparing with selected foreign legal systems and e) formulating possible changes to the Czech legal system (hard law) and possible deviations for MOEs in soft law.
