Fiduciary duties (Primary duties of the administrators of matters of others)
Anotace anglicky
The research elaborates fiduciary duties, i.e. primary duties of the administrators of matters of others (e.g. companies´ directors, trustees or attorneys), which are primarily known from common law countries. Nevertheless, we can find fiduciary duties more and more in Czech literature as well, namely in connection with the duties of company´s directors. However, there is no consensus about the definition and content of fiduciary duties. Therefore, the research team works out its own definition of fiduciary relationship and duties evolving from it based on the analysis of foreign regulation and economic analysis of law. Special attention is paid to the question, if fiduciary duties are of different intensity in various relationships (e.g. depending on branch of law, legal cause of its origins and the like) and if (to which extent) it can be modified by the agreement of parties. The final part of the research is oriented on the assessment of Czech regulation of chosen fiduciary relationships based on the findings of research.
