The article examines the possibilities and limits of applying the business judgment rule in foundation decision-making from the perspective of comparative law and Czech law. It analyzes the approaches of neighboring countries and the function of the business judgment rule in governance. It concludes that the business judgment rule is closely linked to business risk and should therefore not be freely transferred outside the world of commercial corporations. At the same time, however, there remains scope for its application in cases where foundations engage in business and manage their business activities. Here, too, however, the purpose of the foundation, which is not and should not be commercial, should be respected.
