The paper deals with a high responsibility of corporate officials for making qualified and best possible business decisions when representing their corporations on a daily basis. The paper includes an analysis of a liability of corporate officials for any damages caused by their business decisions to a company and provides for suggestions how to deal with this issue in business practice both from the corporate officials and shareholders point of view.
